SIDERAAI — TERMS OF USE & END-USER LICENSE AGREEMENT (EULA)

Important: SideraAI is an AI-powered spiritual and personal-growth tool. It is not medical, psychological, financial, legal, or professional advice. It is not appropriate for crisis situations. All content is AI-generated and metaphorical in nature.

1. Introduction

Welcome to SideraAI ("Sidera," "we," "us," or "our"), operated by Arsum LLC, a Wyoming limited liability company located at 30 N Gould St Ste N, Sheridan, WY 82801. These Terms of Use & End-User License Agreement ("Agreement") govern your use of our app, website, tools, AI agents, and all related services (collectively, the "Service").

By using the Service, you agree to this Agreement. If you do not agree, you must not use the Service.

Your use is also governed by our Privacy Policy.

2. Eligibility

You must:

• Be at least 18 years old.
• Use the Service only for personal, non‑commercial purposes.
• Not use the Service on behalf of minors or provide data about minors.

By using the Service, you represent and warrant that you meet all eligibility requirements.

3. Nature of the Service

SideraAI is an AI-driven introspection, self-reflection, and spiritual growth tool. It offers:

• Reflective prompts
• Spiritual/energetic language
• Self-inquiry facilitation
• Insight and pattern recognition
• Personal exploration frameworks

3.1 Not Professional Advice

The Service does NOT provide:

• Medical or mental health care
• Therapy, diagnosis, or treatment
• Crisis support
• Legal, financial, or business advice
• Pastoral or religious counseling

No professional relationship is created.

3.2 Not for Crisis or Emergencies

Do not use the Service during:

• Thoughts of self-harm
• Psychiatric crises
• Abuse or violence situations
• Medical emergencies

Instead, contact emergency services or crisis hotlines (e.g., 988 in the U.S.).

3.3 Spiritual & Energetic Language is Metaphorical

The Service may use terms referencing intuition, energy, alignment, or spiritual archetypes. You acknowledge and agree that:

• Such content is metaphorical or symbolic.
• The Service does not channel spiritual beings or predict the future.
• Interpretations are not factual statements or metaphysical claims.

3.4 Not a Substitute for Human Judgment

All decisions you make based on AI Output are solely your responsibility. You must not rely exclusively on AI when making decisions with material consequences.

4. Account Registration & Security

You must:

• Provide accurate, current information.
• Keep login credentials secure.
• Notify us immediately of unauthorized use.

You are responsible for all activity occurring under your account.

5. License Grant & Scope of Use

We grant you a limited, revocable, non-transferable, non-commercial, personal license to use the Service.

You may NOT:

• Copy, modify, or distribute the Service.
• Reverse engineer or decompile.
• Sell or commercially exploit the Service.
• Use the Service to provide therapy or coaching to others.

All rights not expressly granted are reserved.

6. Acceptable Use & Prohibited Conduct

You agree not to:

• Violate laws or third-party rights.
• Submit harmful, abusive, or unlawful content.
• Seek medical, legal, or professional diagnoses.
• Upload data about minors.
• Request explicit content.
• Harass or attempt to deceive the Service.
• Circumvent security features.
• Use bots or scrapers.

7. AI Output & Intellectual Property

AI-generated content ("AI Output") may be inaccurate, incomplete, or unpredictable. You agree that:

• AI Output is not guaranteed to be unique.
• You must verify accuracy independently.
• You assume full responsibility for your use of AI Output.
• AI Output may be used to improve the Service.

We make no warranty that AI Output is correct, safe, lawful, or reliable.

8. User Content & Data

You retain rights to your inputs but grant SideraAI a license to:

• Use, process, store, and reproduce content as needed to operate and improve the Service.

8.1 Sensitive Personal Information

You agree not to submit:

• PHI (Protected Health Information)
• Financial account details
• Government-issued identification numbers
• Data about minors
• Mental-health crisis information

You understand that the Service is not HIPAA compliant.

8.2 Data Retention & Deletion

We may store your data for operational, legal, and safety reasons. Deleted account data may remain in backups or anonymized systems.

9. Privacy & Data Practices

Your privacy is governed by our Privacy Policy. By using the Service, you consent to:

• Data collection and processing
• Cross-border transfers
• Model improvement practices

No system is fully secure; you provide information at your own risk.

10. Subscriptions, Billing & Payments

SideraAI offers the following auto-renewable subscription plans:

• Sidera Pro Monthly — a monthly subscription that provides access to all Pro features, including unlimited calendar access, extended AI message limits, and historical data access.
• Sidera Pro Yearly — an annual subscription that provides the same Pro features at a discounted yearly rate.

10.1 Pricing & Payment

Subscription prices are displayed in the app at the time of purchase and may vary by region. Payment is charged to your Apple ID account (or Google Play account) at confirmation of purchase.

10.2 Auto-Renewal & Cancellation

• Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current subscription period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the same rate.
• You can manage and cancel your subscriptions by going to your device's Settings > [your name] > Subscriptions after purchase.
• Cancellation takes effect at the end of the current billing period. You will retain access to Pro features until the end of your paid period.
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.

10.3 Price Changes

We may change subscription pricing at any time. Price changes will take effect at the start of the next subscription period following the date of the price change. Your continued use of the Service after a price change constitutes your agreement to pay the updated amount.

10.4 Refunds

Payments are non-refundable except as required by applicable law. Refund requests for purchases made through the Apple App Store or Google Play Store are subject to the respective platform's refund policies.

11. Third-Party Services

We may integrate third-party products or links. We are not responsible for their content, actions, or your interactions with them.

12. Intellectual Property

All Service content is owned by SideraAI or licensors. You may not use trademarks, logos, or branding without permission.

13. Modifications & Beta Features

We may:

• Modify or discontinue features
• Introduce beta or experimental features
• Change the Service without liability

14. Disclaimers

To the fullest extent allowed by law, the Service is provided AS IS and AS AVAILABLE.

We disclaim all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy of AI Output
• Reliability of spiritual or intuitive language

You use the Service entirely at your own risk.

15. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, consequential, or punitive damages.
• We are not liable for emotional distress, reliance damages, spiritual interpretation, or decisions made based on AI Output.
• Total liability will not exceed $100 or the amount paid in the last 12 months.

Certain jurisdictions may limit these restrictions.

16. Mental & Emotional Health Waiver

You acknowledge and agree that the Service:

• Does not assess or monitor mental health
• Cannot detect trauma, psychosis, dissociation, or emotional instability
• Is not appropriate for individuals experiencing severe psychological symptoms

You assume all risks associated with emotional exploration.

17. Indemnification

You agree to indemnify and hold harmless SideraAI and its affiliates from any claims arising from your use of the Service.

18. Termination

We may suspend or terminate access at any time for violations, security issues, or legal risks.

Certain obligations survive termination.

19. Governing Law

This Agreement is governed by the laws of Wyoming.

20. Dispute Resolution; Arbitration; Class Action Waiver

20.1 Informal Resolution First

You agree to attempt resolution by contacting us first.

20.2 Binding Arbitration

Except where prohibited, disputes will be resolved by binding arbitration under AAA Consumer Rules in Sheridan, Wyoming.

20.3 Class Action Waiver

You waive any right to participate in class, collective, or representative actions.

20.4 Small Claims Carve-Out

Either party may use small claims court for qualifying disputes.

20.5 30-Day Opt-Out

You may opt out of arbitration within 30 days of first use by contacting us.

21. Force Majeure

We are not liable for delays or failures caused by events beyond our control, including outages, natural disasters, government actions, or platform failures.

• Users outside designated regions use the Service at their own initiative
